The quality of corporate governance is a priority for the Corporation, its Board of Directors and its management. The Board believes that corporate governance standards are fundamental to Ovivo Inc.’s continued success and enhancement of long-term shareholder value. The Board believes that effective corporate governance requires consideration of governance matters on an ongoing basis and where appropriate, the adoption of new policies and the update of existing policies to address evolving corporate governance standards and practices. In accordance with Regulation 58-101 respecting disclosure of corporate governance practices, Ovivo Inc. must disclose its corporate governance practices.
President and Chief Executive Officer
Marc Barbeau, CPA, C.A., and Master in Taxation, was appointed President and Chief Executive Officer of Ovivo Inc. in November 2014. Prior to this appointment, he held the positions of Executive Vice President of GLV Inc. and President of Ovivo (Water Treatment Group) since June 2012. Before that, Mr. Barbeau was the Executive Vice President and Chief Financial Officer of GLV Inc. since February 2007. After acquiring 10 years of experience with a major accounting firm, he joined GL&V in 2000 as Director, Treasury and Taxation, also in charge of financing activities. In 2002, he was nominated Vice President, Treasury and Taxation and then, in May 2006, he was promoted to the position of Vice President and Co-Chief Financial Officer (CFO). From 2010 to June 2012, he was based in Europe to assume increased responsibility for the Ovivo European operations further to the acquisition of Christ Water Technology in November 2009. His current duties include overseeing the worldwide operations of Ovivo's business units which are dedicated to delivering premium technologies and solutions to industry and to municipalities for effective water management.
Chief Operating Officer
Yves Caouette was appointed Chief Operating Officer for Ovivo in June 2016, after acting as strategic advisor since February 2016. He is a Chemical Engineering graduate from Laval University in Canada and he spent over 25 years in the water and wastewater business. Yves started his career in 1989 as a sales engineer for Betz Chemicals in Canada before moving to Houston, Texas in 1998.
In 2002, he joined GE Water in Paris, France and was promoted to Country Manager France and finally to Regional Executive Western Europe. In September 2008, Yves joined Veolia as Executive Vice President with responsibilities over Asia, Eastern Europe, France and Italy. In 2011, he took the global leadership of Industrial Marketing and Strategic Account Management acquiring a broad knowledge of the various industrial and municipal global markets.
Yves is now based at the Ovivo head office in Montreal, Canada and he is responsible for delivering efficient management of the global operations.
France De Blois
Vice President Finance
France De Blois is Vice President Finance for Ovivo since November 2013. She joined the organization in August 2010 as Vice-President, Accounting, and she was appointed as Chief Financial Officer of GLV Inc. from June 2012 to November 2013. France has acquired extensive experience in various finance leadership roles over the past 25 years, with worldwide and large manufacturing publicly traded organizations. Her achievements include the integration of operations and processes optimization, as well as the leadership of strategic changes.
In her role as Vice President Finance, France leads the financial operations for all business units, worldwide. She contributes to the deployment of the corporation’s strategy and is responsible for monitoring its financial performance. Her responsibilities also include the accountability for the corporation’s financial compliance, reporting and tax. France has a Bachelor’s Degree in administration from Université du Québec à Montréal, and is a certified accountant, CPA, CA since 1989.
Senior Vice President Legal Affairs & Risk Management
Gwen Klees, BCL (Bachelor of Civil Law) and a member of the Québec Bar, was appointed Vice President Legal Affairs, Risk Management and Corporate Secretary in June 2013. Prior to this appointment, Mrs. Klees was Vice President, Legal Affairs and Corporate Secretary since May 15, 2007. She joined Ovivo, previously named GLV Inc. and Groupe Laperrière & Verreault Inc., in 2003 as Director, Legal Affairs and was appointed General Counsel in 2006. Gwen manages Ovivo’s global legal and corporate affairs, which spans from mergers, acquisitions & divestitures, reorganizations, litigation management and financing to commercial contracts with customers, suppliers and partners with which Ovivo has key relationships in addition to being responsible for insurance and providing ongoing strategic advice. As a member of Ovivo’s senior management team, Gwen participates in strategic risk management both on a local country - specific and global scale, working with insurance and other risk management tools in order to reduce Ovivo’s overall risks. As Corporate Secretary of the Company, she also plays a key role in the administration of the Board of Directors and critical corporate governance matters. Gwen brings to Ovivo 25 years of experience in corporate and commercial law, more specifically in mergers and acquisitions, financings and risk management with large Canadian and Québec companies.
Senior Vice President of Municipal North America
Jim Porteous is Senior Vice President of Municipal North America for Ovivo. Mr. Porteous has been in the Water and Wastewater industry for over 40 years, starting his career in Ireland as a site engineer project manager and later joining Jones Environmental as General Manager. In 1985, Mr. Porteous came to the U.S. to lead the Jones Group’s expansion which led to the purchase of Enviroquip in 1987. From 1987 to 2006, he was instrumental in expanding Enviroquip’s product range and geographic footprint. In 2006, Enviroquip was purchased by Ovivo.
In his current role, he is responsible for all Municipal activities in North America. He is also leading Ovivo’s innovation initiatives globally and is currently leading a team that is focused on technologies for Resource Recovery, Membrane technologies and Biosolids.
Jim Porteous is a Chartered Engineer and received his Civil Engineering degree from University College in Cork, Ireland.
Senior Vice President of Electronics
Malek Salamor is Senior Vice President of Electronics for Ovivo. He has more than 20 years of experience in water and wastewater treatment. Mr. Salamor is the former Chief Technology Officer and Chief Executive Officer of the Christ Water Technology group, which was acquired by Ovivo. Since that time, Mr. Salamor has led the global Electronics and Metals group with strong focus on sales, operational excellence and innovation. Based in Switzerland, he has a Master of Science in Civil/Environmental engineering from California State University in Fresno,California.
Vice President, Corporate Finance & Treasury
Pierre-Marc Sarrazin is Vice President, Corporate Finance & Treasury for Ovivo. He is responsible for the financing, investor relations and treasury operations on a global basis. Pierre-Marc is also involved in the company’s strategic initiatives, such as acquisitions, divestments and capital structure. Since joining the company in 2011 as Director, Corporate Finance & Treasury, he led the implementation of multiple international credit agreements, in addition to playing a key role in the sale of the Pulp and Paper Division.
Pierre-Marc accumulates fifteen years of corporate finance and development experience for several multinational publicly-traded companies. During his career, he held increasing positions of responsibility and led teams responsible for the cash, debt and financial risk management, while maintaining a close relationship with the financial community. He also actively participated in a number of strategic transactions, such as financing, mergers and acquisitions, as well as restructuring operations. Pierre-Marc holds a Bachelor of Business Administration in Finance and a Master of Science in International Business from HEC Montreal. He also holds the designation of Chartered Financial Analyst (CFA).
Senior Vice President of Global Energy
Kaveh Someah is Vice President of Global Energy for Ovivo. He holds a Bachelor Degree in Chemical Engineering from the University of Wisconsin in Madison. Mr. Someah has spent over 30 years in water and wastewater as it relates to the Energy market. He joined Water Services of America Inc. (WSA) in early 80s as process engineer and later managed various disciplines at the company including Engineering, Manufacturing, Marketing, and Sales group before he was appointed as the President and later became the owner of the company. While at WSA he was responsible for the transformation and repositioning of the company from serving the domestic commercial market into a leading international company serving the Industrial and Energy market. In 1998, Kaveh joined Bracket Green Company when they purchased WSA. Bracket Green was later purchased by Ovivo. Since joining Ovivo, Kaveh has held successive senior positions in General Management, Marketing and Sales until he was promoted to lead the Energy segment in February 2014.
His field of expertise is Water Treatment in the Oil & Gas, Petrochemical and Power Generation markets. Kaveh is an active participant in Energy industry and has published in number of articles in trade journals and has been frequent speaker at a number of energy related conferences.

He was promoted to Vice-President and Chief Financial Officer of the Original Corporation in February 2007 and later served as Executive Vice-President and Chief Financial Officer of the Corporation until June 2012, and then as Executive Vice-President and President of Ovivo until November 28, 2014, on which date he took up his duties as President and Chief Executive Officer of the Corporation. Drawing on his 10 years of experience with a large accounting firm, he joined the Original Corporation in 2000 as Director, Tax and Administration. In 2002, he was appointed Vice-President, Treasury and Tax, and then Vice-President and Co-Chief Financial Officer in May 2006. Mr. Barbeau serves on the Board of Directors of the Ataxia Charlevoix-Saguenay Foundation.

Chantal Bélanger is a Certified Corporate Director and holds her FCPA, FCGA designation from the Ordre des CPA du Québec. Ms. Bélanger was employed by the Laurentian Bank from 1986 to 2006, where her last positions were Ombudsman for the Bank and its subsidiaries. She also served in various management positions in audit, information technologies and business development, including the position of Senior Vice-President, Retail Financial Services, Québec, for four years. Ms. Bélanger currently sits on the Board of Directors of Lassonde Industries Inc. (LAS.A-T) and chairs the Audit Committee, is a member of the Board of Directors of Capital régional et coopératif Désjardins and chair of the Audit and Portfolio Valuation Committees, is a member of the Board of Directors of Régie des rentes, where she chairs the Audit Committee and serves on the Board of Directors of Société de services financières Fonds FMOQ Inc. and is chair of its audit committee.
Marc A. Courtois

Marc A. Courtois holds a Master of Business Administration (MBA) and has more than 20 years’ experience in financial markets, both in financing and business mergers and acquisitions. He worked at RBC Dominion Securities Inc. from 1980 to 2001. Mr. Courtois is an independent member of the Board of Directors of TVA Group Inc. and Chairman of its Audit Committee as well as a member of the Board of Directors of GBC North American Growth Fund Inc. and Chairman of its Audit Committee. He currently serves on the Board of Directors of NAV Canada as Chairman of the board and Chair of the Customer Service Charges Committee and is a member of the Safety and Internal Administration Committees. Mr. Courtois also served as Chairman of the Board and Director of Canada Post from 2007 to 2014.

Ms. Sylvie Lalande is a Certified Corporate Director (CCD) and a Chartered Director. Ms. Lalande has held various corporate executive positions in the media, marketing, marketing communications and corporate communications fields. She was Chief Communications Officer of Bell Canada until October 2001. From 1994 to 1997, she served as President and Chief Executive Officer of UBI Consortium. From 1987 to 1994, Ms. Lalande held various senior management positions at TVA Group Inc. and Videotron Group Ltd. She is currently the Chairman of the Board of TVA Group Inc. and of its Human Resources and Corporate Governance Committee and serves on the Board of Directors of Quebecor Inc. and chairs its Corporate Governance and Nominating Committee and a member of the Compensation Committee. Ms. Lalande is currently a member of the Board of Directors of Quebecor Media Inc. and Videotron Ltd., and serves as Chair of the Board of College des Administrateurs de Sociétés.
François R. Roy

Mr. François R. Roy holds a Master of Business Administration (MBA) and has extensive experience as a corporate director and executive in the private and public sectors, at non-profit organizations and in academia. He was Vice Principal (Administration and Finance) of McGill University from June 2007 until June 2010. From March 2000 until May 2003, he was Chief Financial Officer of Telemedia Corporation, a private portfolio company. Prior thereto, he was Executive Vice President and Chief Financial Officer of Quebecor Inc. from August 1998 until March 2000, and Executive Vice President and Chief Financial Officer of Avenor Inc. from August 1997 until July 1998. Mr. Roy currently serves on the Board of Directors of Capstone Infrastructure Corporation and is Chair of the Audit Committee. He serves on the Board of Directors of Transcontinental Inc. and is a member of the Audit Committee. He serves on the Board of Trustees of Noranda Income Fund, is Vice Chairman of the Independent Committee as well as a member of the Audit Committee and of the Corporate Governance and Human Resources Committee. He serves on the Board of Directors of Neptune Technologies and Bioressources Inc. and chairs its Audit Committee. He is also a member of the Board of Directors of the Caisse de dépôt et de placement du Québec and member of the Audit Committee and of the Investment and Risk Management Committee.

He sits on the board of directors of Boralex Inc. where he is also Audit Committee Chair; of WSP Global Group Inc. (formerly GENIVAR Inc.) for which he is also Audit Committee Chair; of New York Millenium Iron Corp. where he is also Audit Committee Chairman and a member of the Corporate Governance and Compensation Committee; and Ivanhoe Cambridge Group Inc., a real estate manager and developer, where he is also Audit Committee Chair and a member of the Human Resources and Investment committees.

Laurent Verreault, one of the founders of Group Laperrière & Verreault Inc. (the “Original Corporation”), headed the latter’s development from 1975 to 2007 as Chief Executive Officer. From August 2007 until September 2010 he held the positions of Chairman of the Board and Chief Executive Office in GLV Inc. From September 2010 to September 2015 he served as Executive Chairman of the Board, and as of September 24, 2015 holds the position of Chairman of the Board of the Corporation. Over the years, Mr. Verreault has actively contributed to charities and cultural activities, and on several occasions has been honoured for his contribution to the business community and social development. Mr. Verreault is a member of the Board of Directors of 5C Investments Inc., parent company of GL&V Canada Inc., an equipment provider to the pulp and paper industry, since November 28, 2014.
